1. On Thursday the Board of the Bank of Lithuania was presented a report on the results of the inspection of AB Parex Bankas. This commercial bank was instructed to remove the deficiencies in its operation specified in the inspection report by 1 March 2006.
The inspection focused on the management, internal control, and management of individual risks (credit, liquidity, market and operational) in the Bank as well as on the compliance with legal acts regulating bank activities and the Bank’s internal regulations.
2. The Board of the Bank of Lithuania gave permission to AB Sampo Bankas to register an amendment to the Bank’s Statute approved by the decision of its sole shareholder on 16 September 2005 in relation to the increase of the Bank’s share capital by LTL 50 million - to LTL 184, 908 million.
The sole shareholder of Sampo Bankas, Sampo Bank plc decided to increase the share capital of Sampo Bankas out of additional contributions by issuing 500 thousand new registered shares with the nominal value of 100 litas each. All the newly issued shares will be sold to Sampo Bank plc.
3. The Board of the Bank of Lithuania agreed with the acquisition by the Danish company NORD/LB Holding A/S of ½ (93.10%) of the qualifying holding of the authorised capital and/or voting rights of AB bank NORD/LB Lietuva.
The registered office of the Danish company NORD/LB Holding A/S is based in Copenhagen. Currently its sole shareholder is Norddeutsche Landesbank Girozentrale holding 93.10 per cent of the share capital of the bank NORD/LB Lietuva.
According to the submitted data, the German bank Norddeutsche Landesbank Girozentrale and the credit institution DnB NOR Bank ASA of the Kingdom of Norway have entered into agreements on joining their activities within the Baltic region under the common name Bank DnB NORD AS. The purpose of this is to offer a wide range of innovative, quality and safe financial services in Denmark, Finland, Poland, Latvia, Lithuanian and Estonia. In order to implement these plans, NORD/LB Holding A/S was established in Denmark.
51 per cent of the share capital and voting rights of NORD/LB Holding A/S are to be transferred to the credit institution DnB NOR Bank ASA the total share capital and voting rights of which are owned by the company DnB NOR ASA of the Kingdom of Norway.
