1. The Board of the Bank of Lithuania reviewed the results of the inspection of UAB Medicinos bankas and instructed the Bank to remove the shortcomings in its operation listed in the inspection report by 1 April 2006.
The inspection was conducted in October-November this year. It focused on management, internal control, management of individual risks (credit, liquidity, market and operational risks) in the Bank and on the compliance with bank regulatory legislation and the Bank’s internal regulations.
2. The Board of the Bank of Lithuania gave permission to AB bank Hansabankas to register an amendment to its Statute adopted at the extraordinary general shareholders’ meeting on 16 September 2005 in relation to the increase of the Bank’s share capital by LTL 84,379,680 to LTL 569,712,000.
The shareholders of AB bank Hansabankas decided to increase its share capital from additional contributions by issuing and paying for 8,437,968 units of ordinary registered shares with the nominal value of 10 litas each. The price for one ordinary registered share of the new issue was established to be 20 litas. The shares of the new issue were acquired by 5 shareholders, of which 99.99 per cent accounted for AS Hansapank of the Republic of Estonia. After the increase of the share capital of AB bank Hansabankas, this shareholder will hold 99.87 per cent of the share capital of AB bank Hansabankas (99.85 % before the new issue).
3. The Board of the Bank of Lithuania did not object to the requests from UAB Medicinos bankas and AB Siaulių bankas for permissions for certain individuals to be appointed governors of these banks.
UAB Medicinos bankas asked for permission to appoint Mr Jonas Andriulis Deputy Head of Administration and informed that Mr Kestutis Olsauskas was Chairman of the Board of the Bank at the same time holding the position of the Bank’s Head of Administration. Siaulių bankas asked for permission for Mr Vigintas Butkus to become Governor of the Bank as well as to hold the position of a member of the Supervisory Council.
