1. On Thursday, the Board of the Bank of Lithuania instructed AB Bankas Hansabankas to remove the shortcomings in its operation listed in the inspection report by 1 May 2006.
The inspection focused on credit and operational risk management, and bank management and internal control in relation to these risks.
2. The Board of the bank of Lithuania authorised AB Ukio Bankas to register amendment to its articles of association in relation to the change of nominal value of the Bank’s shares, adopted at the extraordinary general shareholder’s meeting of 23 December 2005.
The authorised capital of Ukio Bankas (LTL 126.708 million) will be divided into 126.708 ordinary shares. Nominal value of one share shall be LTL 1.
3. The Board of the Bank of Lithuania gave permission to AB Siauliu Bankas to register an amendment to its articles of association in relation to increase of its authorised capital to LTL 84.720 million approved at the extraordinary general shareholder’s meeting of 23 September 2005.
Previously, the capital of AB Siauliu Bankas made up LTL 74.720 million and now has been increased by LTL 10 million. According to the supplied data, Bank’s shares of the new issue were acquired by 1 123 legal and natural persons. 5 per cent and more of the authorised capital and/or voting rights of the Bank have been acquired by the following persons: (portions of share capital of AB Siauliu Bankas held by each of them, shares of new issue included; percentages): the European Bank for Reconstruction and Development (16.06 %), UAB House of Commerce Aiva (6.7 %), Gintaras Kateiva (6.4 %) and Skandinaviska Enskilda Banken (6.3 %).
