1. The Board of the Bank of Lithuania was presented a report on the SEB Vilniaus Bankas inspection results; an instruction to the latter was issued requesting the removal of violations and shortcomings in the Bank’s operations as pointed out in the inspection report by 1 December 2006.

The head of the administration of AB SEB Vilniaus bankas was requested to arrive at the Bank of Lithuania during next 10 days to present explanations on the measures to be taken to remove the shortcomings detected during the inspection.

A full-scope inspection was carried to examine the Bank’s management, internal control, management of separate risk types (credit, liquidity, market and operational risks) as well as the observance to the legal acts and internal rules regulating banking activities.

2. The Board of the Bank of Lithuania listened to a report on the results of a target inspection of AB SEB VB busto bankas (SEB VB Mortgage Bank).

On 29 June 2006, the Board of the Bank of Lithuania issued an authorisation to liquidate AB SEB VB busto bankas and decided to cancel the bank’s licence. AB SEB Vilniaus bankas is the only shareholder of AB SEB VB busto bankas.

3. The Board of the Bank of Lithuania issued a permission to AB Sampo bankas, a joint stock company, to register amendments to the Bank’s statute related with the increase of the bank’s authorised capital up to LTL 234,908,000 million as approved by the sole shareholder of the Bank on 1 June 2006.

Sampo bankas took the decision to raise the authorised capital by LTL 50 million from the additional contributions of its sole shareholder by issuing 500,000 new ordinary registered shares with a nominal value of LTL 100 per share. All new shares are sold to a Finnish bank Sampo Bank plc.
